The Managing Body
The operation and main issues are managed and administered by the Managing Body, which consists of: the Chairperson, Vice-Chairperson, Secretary and 12 other elected members.
All office-holders are elected at the meeting of the Managing Body.
The elected functions of the Managing Body are:
- Chairperson: is elected at the annual meeting of the General Body.
- Secretary: is elected by a majority vote of the members of the General Body.
The Managing Body shall have the right to occasionally elect members and/or appoint subcommittees from amongst the General Body to perform specific tasks, as necessary.
Occasional vacant posts of a member of the Managing Body resulting from death, resignation or removal from office may be filled by decision of the Managing Body, and the member so elected shall hold office for the remainder of the term of office of the member being replaced. The member so elected shall have all the rights that belong to a full member of the Managing Body.
The Managing Body has the power to appoint from amongst members of the General Body or from amongst its members, editors and other staff for the printing and publishing brochures, newsletters and annual magazines of the ALMIA-ALUMNI platform.
The meeting of the Managing Body shall be considered quorate if at least ten of its members are present. The Managing Body shall manage the matters of the platform by a majority of the votes at the meeting, however, in the event of a tied vote, the Chairperson shall have the casting vote.
The Supreme Council meets at least three times a year. The Secretary shall issue the announcement of the agenda at least one week before the date set for the meeting. However, in the event of an urgent matter, the meeting may be convened at shorter notice.
The Managing Body may terminate the membership of any of its members who does not attend two consecutive meetings of the said committee.
Duties of the Secretary
- Keeping minutes of all meetings of the General Body and the Managing Body.
- Following the instructions of the General Body and the Managing Body.
- Correspondence on behalf of the platform.
- Announcing all meetings of the General Body and the Managing Body.
- Performing administrative control over the platform.
- In the absence of the Secretary, the Honorary Secretary will act as a Secretary.
The Chairperson shall chair the meeting of the Managing Body. In the absence of the Chairperson, the Vice-Chairperson will act as a deputy.
In the event of a vacancy in the Office of the Chairperson/Secretary, the Managing Body shall elect a new Chairperson/Secretary from amongst its members to hold office until the next annual meeting.
Amendments
Any provision/requirement of these statutes may be amended or supplemented by a two-thirds majority of the votes present and voting at the annual meeting. The quorum for such a meeting is at least 50% of all members and honorary members of the platform. The proposal for amendment shall be submitted by the Managing Body or by at least 30 members on the basis of a signed request.
Notice of proposed amendments shall be delivered to the Secretary at least 40 days before the date of the ordinary annual meeting of the General Body. Such notice shall include details of the proposed amendments and the reasons for their submission. Upon receipt of a request for amendment, the Secretary shall notify each member, graduate of such a meeting at least 15 days before the scheduled date of the ordinary annual meeting of the General Body.
Dissolution
On the date of dissolution of Mondo International Academy, s.r.o. the ALMIA-ALUMNI platform also ceases to exist.
